This Client Service Agreement ("Agreement") is entered into by and between Align With Amie, a coaching practice operated by Amie Vidana ("Coach"), and the undersigned client ("Client"), effective as of the date signed below.
1. Services
Coach agrees to provide neuromuscular coaching services to Client, which may include one-on-one online coaching sessions and access to digital coaching products, as selected by Client and described in the applicable service description or package provided to Client at the time of enrollment. All services are delivered remotely; no in-person sessions are offered.
2. Not Chiropractic or Medical Services
Client acknowledges and agrees that the services provided under this Agreement are coaching services only, and do not constitute chiropractic care, medical care, physical therapy, or any other licensed health care service, regardless of Coach's professional background. This is described more fully in the Scope of Practice Disclaimer and Informed Consent provided to Client separately, both of which are incorporated into this Agreement by reference.
3. Fees and Payment
Coach offers the following: 12 week private coaching that includes 12 60-minute sessions for $4,000.
Coach also requires an application for private coaching to determine whether coaching is a good fit; and does not obligate Client to purchase a package.
Payment for a selected package is due in full at the time of booking unless Coach and Client agree otherwise in writing.
4. Scheduling and Cancellation
Sessions are scheduled in advance. Client agrees to provide at least twenty-four (24) hours' notice to reschedule or cancel a session. If Client cancels or reschedules with less than twenty-four (24) hours' notice, or does not attend a scheduled session, Client forfeits that session at its per-session price under Client's package.
5. Term and Termination
This Agreement begins on the date signed and continues for the duration of the coaching package purchased, or until terminated by either party. Either party may terminate this Agreement at any time upon written notice. Termination does not entitle Client to a refund of
fees already earned for services rendered.
6. Client Responsibilities
Client is responsible for providing accurate and complete health information, for obtaining any medical clearance Client's own health care providers recommend before participating in coaching, and for seeking care from a licensed medical or chiropractic provider for any
condition that requires diagnosis or treatment. Client acknowledges that Coach is relying on Client's disclosures in good faith and has no independent means of verifying Client's medical condition.
7. Confidentiality
Coach will keep Client's personal and health-related information confidential and will not disclose it to third parties except as required by law, to protect against an imminent risk of harm, or with Client's written consent.
8. Assumption of Risk; Release
Client acknowledges having read and signed the Informed Consent provided separately and reaffirms the assumption of risk described there. To the fullest extent permitted by law, Client releases Coach from, and agrees not to bring any claim against Coach for, any injury,
aggravation of a pre-existing condition, or other harm arising from Client's voluntary participation in coaching, except to the extent caused by Coach's gross negligence or willful misconduct.
9. Limitation of Liability
To the fullest extent permitted under California law, Coach's total liability to Client arising out of or relating to this Agreement, however characterized, will not exceed the total fees paid by Client to Coach in the twelve (12) months preceding the claim. Coach is not liable for any
indirect, incidental, consequential, or special damages.
10. Independent Relationship
Coach provides services as an independent provider of coaching services, not as Client's chiropractor, physician, therapist, or other licensed health care provider, and not as an employee or agent of Client.
11. Governing Law
This Agreement is governed by the laws of the State of California, without regard to conflict of law principles.
12. Entire Agreement; Amendment
This Agreement, together with the Informed Consent and Scope of Practice Disclaimer incorporated by reference, is the entire agreement between the parties regarding coaching services and supersedes any prior discussions or agreements. This Agreement may only be

13. Severability
If any provision of this Agreement is found unenforceable, the remaining provisions remain in full force and effect.
